PROVIDER INFORMATION This website (the “Site”) is operated by Chemelex LLC. Our corporate details are available in the Legal Notice/Imprint on the Site (“Chemelex,” “Company,” “we,” “us,” or “our”). References to the Company include its parents, subsidiaries, divisions, branches, successors, and affiliates. 

1. Acceptance of Terms of Use By accessing or using the Site, you, the user, acknowledge and agree to be bound by these Terms of Use. You may use the Site only if you accept all applicable laws and these Terms. If you do not agree, do not access the Site or download any materials. The Site is a business/commercial resource and is not intended for consumers, children, or minors. These Terms constitute the full and exclusive agreement between you and the Company regarding use of the Site and supersede all prior or contemporaneous understandings concerning its subject matter. 
2. Changes to These Terms We may update, revise, or otherwise change these Terms, in whole or in part, at any time in our sole discretion, without prior notice. You are responsible for reviewing these Terms before using the Site and periodically thereafter. All updates are effective immediately upon posting. Your continued use of the Site following any changes constitutes acceptance of the revised Terms. 
3. Intellectual Property Ownership The Site, including all content, features, design, selection and arrangement, graphics, text, look and feel, compilations, and conversions, is owned by us or used with permission and protected by copyright, trademark, and other proprietary rights. You gain no ownership rights by using or viewing the Site. Except as expressly permitted in Sections 5 and 6, you may not copy, display, distribute, publish, transmit, or create derivative works from Site materials. All rights not expressly granted are reserved. 
4. Trademarks Company names, logos, product names, trade dress, page headers, custom graphics, and service marks appearing on the Site are trademarks or registered trademarks of the Company, its affiliates, or third parties. No license to use any trademark, logo, or service mark is granted by implication, estoppel, or otherwise without prior written permission of the applicable owner. You may not copy, redistribute, use, or publish our or third-party marks except as expressly permitted in Sections 5 and 6. 
5. Limited Right to Use the Site Access to the Site and use of its information, materials, products, or services is prohibited where such access or use violates law. You may view, copy, print, or download Site content for your personal, noncommercial use, provided you do not alter or remove any copyright, trademark, or proprietary notices. 

You may not: - Modify, copy, transmit, display, post, perform, reproduce, license, publish, distribute, assign, sublicense, sell, create derivative works from, or otherwise use Site content except as expressly allowed herein. - Reproduce any portion of Site content in any retrieval system, electronic or mechanical, without our prior written consent. Any permission granted does not transfer title. - Use the Site to send, receive, upload, download, or reuse materials that violate the Content Standards; impersonate the Company, its employees, another user, or any person or entity; or otherwise misrepresent your identity. - Engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Site or that may harm the Company or users or expose them to liability. - Post or transmit advertising or solicitations without our prior written consent, or use the Site for commercial solicitation or to recruit users for competing services; use our marks in meta tags or hidden text without express written consent. 

Your activities on the Site shall not: (i) violate any law or regulation (including export controls, consumer protection, unfair competition, anti-discrimination, or false advertising); (ii) introduce viruses, worms, Trojan horses, time bombs, cancelbots, easter eggs, or other harmful code; (iii) create liability or disrupt our service providers; (iv) place an undue burden on Site infrastructure; (v) use robots, spiders, or automated devices to access or copy Site materials; (vi) monitor or copy Site materials for unauthorized purposes; (vii) interfere with Site operation; (viii) attempt unauthorized access to the Site or related systems; (ix) conduct denial-of-service attacks; (x) otherwise interfere with proper Site functioning; (xi) send spam, junk mail, or mass unsolicited emails; (xii) seek sensitive or personally identifiable information from users; or (xiii) alter the Site, including linking from the Site or modifying Site materials. You may not post unlawful, threatening, defamatory, obscene, pornographic, or profane material or encourage conduct constituting a criminal offense. You must not exploit or harm minors. 

We may suspend, change, or terminate your Site access at any time, for any reason, without notice or liability. 

1. Restricted Access  

6.1 Registration. Certain features may require registration. You must provide accurate, current, and complete information. Your submissions are governed by our Privacy Statement, and you consent to our processing consistent with that Statement. We may modify access conditions for some or all portions of the Site, including for registered users. 

6.2 Account Security. If you receive or choose credentials, you must keep them confidential and not share them. You are responsible for all actions taken under your account. Notify us immediately of any unauthorized access or breach and log out after each session. Use caution on shared devices. We may disable any credentials at any time if we believe these Terms have been violated.

Linking to the Site Links to the Site require our prior written approval, except that we consent to links that: (a) solely promote our goods and services; (b) link only to the Site homepage; (c) do not use our trademarks or logos; (d) do not imply affiliation or endorsement; (e) do not frame the Site; and (f) do not cause confusion, dilute, or harm our goodwill, as determined by us. We may revoke consent at any time. Providers of links are solely responsible for their sites and any representations about us. Our consent does not create any liability on our part, and we disclaim liability relating to such links. Parties offering access to the Site must bring these Terms to the attention of recipients. 
2. Changes to the Site; Operations We may refuse, edit, remove, or modify any material on the Site and may suspend, change, or discontinue any aspect of the Site at any time, temporarily or permanently, without notice or liability. We may remove any content we deem objectionable or inconsistent with these Terms, and we may terminate Site access without notice. 
3. Indemnification You agree to indemnify, defend, release, and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and agents from and against all losses, liabilities, claims, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms (including the Privacy Statement) or your access to or use of the Site or materials, products, or services available through the Site. 
4. No Warranties; Disclaimer of Liability The Site and its materials are provided for informational purposes only and only for the jurisdictions identified, if any. Nothing on the Site constitutes an offer to buy or sell products or services. We are not liable if the Site is unavailable at any time.

THE SITE AND ALL INFORMATION AND MATERIALS PROVIDED ON OR THROUGH IT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEITHER THE COMPANY, ITS AFFILIATES, SERVICE PROVIDERS, NOR AGENTS MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: (1) IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE; (2) TITLE OR NON-INFRINGEMENT; (3) NON-INTERRUPTION OR ERROR-FREE OPERATION; (4) TIMELY TRANSMISSION OR AVAILABILITY; (5) ACCURACY, CURRENCY, OR RELIABILITY OF THE SITE OR ITS CONTENT; (6) SECURITY OR FREEDOM FROM VIRUSES; OR (7) ANY WARRANTIES RELATING TO THIRD-PARTY WEBSITES LINKED FROM THE SITE. You are responsible for evaluating the accuracy and completeness of Site information and for obtaining professional advice as needed. Some jurisdictions do not permit certain disclaimers; some exclusions may not apply. We do not exclude or limit liability for fraudulent misrepresentation. Your statutory consumer rights, if any, are not affected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE COMPANY, ITS AFFILIATES, NOR SERVICE PROVIDERS ARE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF USE, DATA, INCOME, PROFIT, OR PROPERTY; VIRUS-RELATED LOSS; THIRD-PARTY CLAIMS; OR OTHER LOSSES, WHETHER BASED IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR OTHERWISE, ARISING OUT OF (1) YOUR USE OF OR INABILITY TO USE THE SITE OR ANY LINKED WEBSITE; OR (2) VIRUSES OR OTHER HARMFUL COMPONENTS FROM YOUR ACCESS TO OR DOWNLOADING OF MATERIALS. YOU ARE RESPONSIBLE FOR ADEQUATE DATA BACKUP AND VIRUS PROTECTION. IF A LIMITATION IS UNENFORCEABLE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED $100 U.S. We do not limit or exclude liability for fraudulent misrepresentation.

8. Limitations on Information Your reliance on Site content is at your sole risk. Standards, specifications, technical discussions, and reports on the Site are advisory only. We and our affiliates are not responsible for typographical errors or technical inaccuracies. 
9. User Contributions  

12.1 Interactive Services and Responsibility. The Site may offer interactive functionality (e.g., message boards, chat rooms, forums, profiles) that allow posting of user content (“User Contributions”). All User Contributions must comply with the Content Standards. You are solely responsible for your User Contributions, including legality, reliability, accuracy, and appropriateness. We are not responsible or liable to third parties for content posted by you or any other user. 

12.2 License to User Contributions. User Contributions are deemed non-confidential. You authorize our use of information about your Site use and information you provide consistent with our Privacy Statement. By submitting User Contributions, you grant us a worldwide, perpetual, irrevocable, royalty-free, nonexclusive license to use, reproduce, modify, adapt, publish, display, disclose, translate, distribute, and incorporate such content in any form or medium now known or later developed, for any purpose. You also permit other users to access and store your User Contributions for personal use. We may edit, copy, display, publish, and distribute your User Contributions. 

You represent and warrant that you own or control all rights to your User Contributions and that such Contributions comply with these Terms. 

12.3 Abusive Content; Enforcement. We may, in our sole discretion, remove any User Contributions; take action we deem appropriate, including where content violates these Terms or infringes rights; disclose your identity to third parties asserting infringement or privacy violations; refer matters to law enforcement; or terminate/suspend access for any reason. We may fully cooperate with law enforcement or court orders requesting disclosure of poster identities. YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM CLAIMS RESULTING FROM ACTIONS TAKEN IN CONNECTION WITH SUCH INVESTIGATIONS OR ACTIONS. We do not undertake prepublication review of User Contributions and cannot ensure prompt removal of objectionable material. User Contributions do not reflect our views, and we assume no liability for user or third-party transmissions or content or for performance or nonperformance of these activities. 

12.4 Content Standards. User Contributions and use of interactive features must comply with all applicable laws and must be accurate and appropriate. Without limitation, User Contributions must not: (i) be defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable; (ii) promote sexually explicit content, violence, or unlawful discrimination; (iii) infringe any IP or other rights; (iv) violate privacy, publicity, or other legal rights or create civil/criminal liability; (v) deceive others; (vi) promote illegal activity or assist unlawful acts; (vii) cause annoyance, inconvenience, undue anxiety, or likely upset or alarm others; (viii) impersonate any person or misrepresent your identity or affiliation; (ix) involve commercial activities such as contests, sweepstakes, promotions, barter, or advertising; or (x) imply endorsement by us or others without authorization. 

1. Privacy Statement Our Privacy Statement forms part of these Terms. By using the Site, you acknowledge you have read and agree to it. 
2. Other Terms and Conditions Certain areas of the Site may be subject to additional terms. Those terms govern the relevant portions and prevail over these Terms in the event of a conflict. Nothing herein modifies any separate agreement currently in effect between you and the Company. 
3. Third-Party Links The Site may include links or advertisements for third-party websites. Those sites are not operated or controlled by us, and we have not reviewed them for accuracy, completeness, or legal compliance. We and our affiliates are not responsible for third-party content, policies, products, or services and are not liable for damages arising from your use of or reliance on them. Inclusion of a link does not constitute endorsement. If you leave the Site, you do so at your own risk and are subject to the third party’s policies and procedures. 
4. Infringement Notice We respect intellectual property rights. If you believe your copyrighted work has been used on the Site in a way that constitutes infringement, please provide a written notice containing: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the infringing material and information reasonably sufficient to locate it on the Site; (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf. We may remove materials in our sole discretion.

Information and Press Releases The Site may contain information about the Company and its affiliates believed accurate as of its preparation date, but we and our affiliates disclaim any obligation to update such information or press releases. Information about other entities should not be considered provided or endorsed by us. 
6. Governing Law; Jurisdiction; Miscellaneous These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Access to or use of the Site may be unlawful in certain jurisdictions; you are responsible for compliance with applicable laws from your location. Any claim related to the Site must be filed within one (1) year after it arises or be permanently barred. All proceedings arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction and to extra-territorial service of process. We may bring proceedings in any jurisdiction where we believe a breach is occurring or originates. If any provision is held invalid or unenforceable, the remainder remains in effect. In the event of conflict between these Terms and anything associated with the Site, these Terms control. Our failure to enforce any provision is not a waiver. No agency, partnership, joint venture, or employment relationship is created by these Terms or your use of the Site, and neither party may bind the other absent written authorization.
